Invoiced Accounts. Client agrees to pay Online Editorial Services within (1) 30 days of the date of invoice when billed on a specific project basis, (2) 15 days of the date of invoice when billed monthly, or (3) another period set by Online Editorial Services. Balances are subject to a 1.5 percent monthly service charge accruing from the invoice date. Client is responsible for any collection costs for unpaid accounts.

Credit Card Accounts. Client gives Online Editorial Services permission to charge expenses for work client requests to the credit card that client provides, which client claims authority to use. If the credit card company declines payment for any reason, client will pay for the charges by check within 15 days of the declination. Unpaid balances after 15 days will be subject to a 1.5 percent monthly service charge accruing from the invoice date. Client will also be responsible for any collection costs for unpaid accounts.

Warranties & Representations. Online Editorial Services makes no warranties, representations or endorsements whatsoever – expressed or implied – including, without limitation, warranties of title or noninfringement or warranties of merchantability or fitness for a particular purpose. Online Editorial Services shall not be liable for any cost or damage resulting from the services.

Services and Rates. Services provided and current rates are posted on Online Editorial Services' website. Rates are subject to change without notice. Online Editorial Services can apply an additional Rush Charge of 25 percent of the regular rates when the client's deadline requires evening or weekend work. These arrangements require advance client approval.

Confidentiality. Online Editorial Services agrees not to disclose to any third party, other than employees and subcontractors, the content of confidential or proprietary material submitted and identified by client. Employees and subcontractors will agree not to disclose these materials.

Governing Law. This agreement shall be governed, construed, and interpreted in accordance with the laws of the State of North Carolina, United States of America.

Acceptance of Terms. Client's provision of account form data shall evidence acceptance of these terms.
